TERMS OF SERVICE

Corvado (ABN: 95 101 725 543) is an AI automation and receptionist services business operating in Australia, trading as Corvado and accessible at corvado.ai. References to "Corvado", "we", "us", or "our" in these terms refer to this entity. References to "you" or "client" refer to the business or individual engaging our services.

Corvado provides AI-powered business automation services including but not limited to:

• AI receptionist and call handling services.
• AI messaging across SMS, email, and web chat channels.
• Smart scheduling and appointment booking automation.
• Lead capture, qualification, and routing.
• Workflow automation and CRM integration.

The specific services provided to you will be as agreed in your service agreement or confirmed in writing at the time of onboarding.

By engaging our services you represent that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and are engaging our services for legitimate business purposes. Our services are intended for businesses and are not directed at consumers for personal use.

Fees are as set out on our website or as agreed in your service agreement at the time of engagement. All prices are in Australian dollars (AUD) and are exclusive of GST unless otherwise stated.

• Payment is due monthly in advance. We reserve the right to suspend services if payment is not received within 7 days of the due date.
• A one-time setup fee may apply as agreed at the time of onboarding.
• We reserve the right to amend pricing with 30 days written notice. Continued use of services after the notice period constitutes acceptance of the new pricing.

• You may cancel your services at any time by providing 30 days written notice to [email protected].
• Monthly fees paid in advance are non-refundable except where required by Australian Consumer Law.
• Setup fees are non-refundable once onboarding has commenced.

You agree to:

• Provide accurate and complete information required for us to deliver the services.
• Ensure that your use of our services complies with all applicable laws and regulations, including the Australian Privacy Act, the Spam Act 2003, and the Telecommunications Act 1997.
• Obtain all necessary consents from your customers before their interactions are processed by our AI services.
• Not use our services for any unlawful, deceptive, or harmful purposes.
• Not attempt to reverse engineer, copy, or replicate our AI systems or proprietary technology.

Our AI services are designed to perform with high accuracy and reliability. However, you acknowledge that:

• AI systems may occasionally produce incorrect, incomplete, or unexpected outputs.
• We do not guarantee that our services will be error free or uninterrupted at all times.
• You remain responsible for reviewing and verifying outputs from our AI services where business decisions depend on them.

All intellectual property in Corvado's platform, AI systems, workflows, branding, and website content remains the property of Corvado.

Any content, data, or materials you provide to us in connection with the services remains your property. You grant us a limited licence to use such materials solely for the purpose of delivering the services to you.

Both parties agree to keep confidential any proprietary or sensitive information disclosed in the course of the business relationship. This obligation survives termination of the services. Corvado will not disclose your business information or client data to third parties except as required to deliver the services or as required by law.

To the maximum extent permitted by Australian law, Corvado's total liability to you for any claim arising out of or in connection with these terms or our services is limited to the total fees paid by you to Corvado in the three months preceding the claim.

Corvado is not liable for any indirect, incidental, special, or consequential loss or damage including loss of revenue, loss of profit, loss of data, or loss of business opportunity, even if advised of the possibility of such loss. Nothing in these terms excludes any guarantee, warranty, or right that cannot be excluded under the Australian Consumer Law.

Nothing in these terms is intended to exclude, restrict, or modify any right or remedy, or any guarantee, warranty, or other term or condition implied or imposed by the Australian Consumer Law that cannot lawfully be excluded or limited. If Corvado is liable to you under the Australian Consumer Law, our liability is limited to resupplying the services or paying the cost of having the services resupplied.

• Either party may terminate the services by providing 30 days written notice.
• Corvado may terminate or suspend services immediately and without notice if you breach these terms, fail to pay fees when due, or use our services in a way that is unlawful or harmful.
• Upon termination, all outstanding fees become immediately payable.

We may update these Terms of Service from time to time. We will notify you of material changes by email or by posting a notice on our website. Continued use of our services after the effective date of any changes constitutes your acceptance of the updated terms.

These terms are governed by the laws of Queensland, Australia. Any disputes arising from these terms or our services will be subject to the exclusive jurisdiction of the courts of Queensland.
